At least three members are appointed after consultation with the community\u2019s representative organizations. The law also provides that administrators are paid. (a. 3.4 of the <em>Loi sur la gouvernance des soci\u00e9t\u00e9s d\u2019\u00c9tat<\/em>)<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>The CEO\u2019s compensation is set by the government. (a. 3.4 of the <em>Loi sur la gouvernance des soci\u00e9t\u00e9s d\u2019\u00c9tat<\/em>). The Chairman of the Board is responsible for the evaluation of the CEO\u2019s performance. In doing so, the Chairman is supported by the Human Resources Committee. The evaluation is forwarded to the <em>Secr\u00e9tariat aux emplois sup\u00e9rieurs <\/em>and the government decides whether or not there will be a bonus for the top corporate executives.<\/p>\n<\/div><\/div><\/div>\n\n\n\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\"><div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>The Board of Directors\u2019 composition must also meet the requirements of the <em>Loi sur la gouvernance des soci\u00e9t\u00e9s d\u2019\u00c9tat<\/em>. Thus, at least 2\/3 of the Directors must have an independent status with the exception of the CEO, at least one member of the Audit Committee must be a member of a professional accounting organization, and gender parity must be maintained. Lastly, the cultural identity of the members must reflect the different components of Quebec society and at least one member must be 35 years of age or younger at the time of appointment.<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>When a director\u2019s term expires or if a director resigns, the Governance and Ethics Committee reviews nominations based on the competency profile approved by the Board of Directors and makes recommendations to the Board. These recommendations are then forwarded to the Minister responsible for the Corporation, who forwards them to the government that is responsible for the appointments.<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>In cases where there would be a repeated absence constituting a vacancy within the meaning of the <em>Loi sur la Soci\u00e9t\u00e9 et du R\u00e8glement sur l\u2019exercice des pouvoirs et la r\u00e9gie interne<\/em>, it is filled according to the appointment rules outlined above.<\/p>\n<\/div><\/div><\/div>\n<\/div>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-heading component-no-padding \" ><div class=\"container\">\n<h3 class=\"wp-block-heading\">The Board and its Committees<\/h3>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>In its decision-making, the Board of Directors has the support of three statutory committees. Their mandates are defined under the <em>Loi sur la gouvernance des soci\u00e9t\u00e9s d\u2019\u00c9tat<\/em>. All committee members have independent status. A Strategy and Revenue Committee also reports to the Board, providing support in the development of the strategic plan, monitoring the achievement of objectives, and exploring opportunities for diversification and revenue maximization.<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-heading component-no-padding \" ><div class=\"container\">\n<h4 class=\"wp-block-heading\">Board Committees<\/h4>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-columns\"><div class=\"container\" >\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-9d6595d7 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\"><div  class=\"item wysiwyg component-list component-no-padding \" ><div class=\"container\">\n<ul class=\"wp-block-list\">\n<li>Audit Committee<\/li>\n\n\n\n<li>Human Resources Committee<\/li>\n<\/ul>\n<\/div><\/div><\/div>\n\n\n\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\"><div  class=\"item wysiwyg component-list component-no-padding \" ><div class=\"container\">\n<ul class=\"wp-block-list\">\n<li>Governance and Ethics Committee<\/li>\n\n\n\n<li>Strategy and Revenue Committee<\/li>\n<\/ul>\n<\/div><\/div><\/div>\n<\/div>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>The Chair of the Board is an ex-officio member of all committees.<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>The Board and its Committees hold closed sessions at each of their meetings.<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>As part of its mandate, the Board of Directors has a budget to hire external consultants or experts, if it deems it appropriate.<\/p>\n<\/div><\/div>\n\n<div  class=\"item wysiwyg component-paragraph component-no-padding \" ><div class=\"container\">\n<p>In order for Directors to become familiar with their roles and to develop relevant skills, the Governance and Ethics Committee, based on the results of a survey, develops a continuing education proposal for the entire Board of Directors.
